The Attorney General of the State of California has authority under Corporations Code
section 1508 to intervene on behalf of shareholders in a corporation who are denied certain
specified legal rights. John Gao, Mailin Zoll and Peter Zoll are shareholders of Yasheng
Group. Per the Attorney General's website, these complaints include failure to: allow
shareholders to vote; hold an annual meeting of shareholders; permit a shareholder to
inspect records after a written demand and provide an annual report to shareholders.
We find no evidence that there was ever an annual shareholder's meeting or election of
directors. We have filed a complaint with the Attorney General.
